Establishment and registration of AD Elektrani na Makedonija

AD Elektrani na Makedonija – Skopje was established upon the Decision of the Government of the Republic of Macedonia no. 19-2626/1 dated 30.6.2005, by restructuring Elektrostopanstvo na Makedonija, a joint-stock company for production, distribution and supply of electricity in state ownership, Skopje, via spin-off and establishment of a new company for production of electricity.
The Company was registered in the trading registry of the Basic Court Skopje 1 Skopje, under T. reg. no. 5020/05 on 9.9.2005.
The Company operates and participates in the legal relations with other entities under the name of Joint-stock company for production of electricity Elektrani na Makedonija in state ownership, Skopje. In its legal relations, the Company also uses its shorter name A.D. Elektrani na Makedonija in state ownership, Skopje.
The Company’s short name is AD ELEM – Skopje.
The registered offices of the Company are in Skopje, on 11 Oktomvri St., no. 9.

 

Activities

The basic activity of the Company is production of electricity, which is an activity of public interest. Upon Decision no. 02-1391/1 dated 18.11.2005, AD ELEM obtained its license for carrying out the activity of electricity production.
The period of validity of the license is 35 years and it expires on November 1, 2040. On 20 March 2006, upon Decision 02-410 of the Energy Regulatory Committee of the Republic of Macedonia, AD ELEM was granted a license allowing its subsidiary Energetika – Skopje to carry out the following activities:

• production of heating energy
• distribution of heating energy, and
• supply of heating energy.

On 22 December 2008, upon Decision no. 02-2187/1 and Decision no. 02-2188/1 of the Energy Regulatory Committee of the Republic of Macedonia, AD ELEM was granted a license its subsidiary Energetika – Skopje to carry out the following activities:

• distribution of electricity, and
• supply of electricity

The subsidiaries are organized upon an act of the Management Board, following a previous approval of the Supervisory Board.

 

Amount of the basic capital,
nominal value and number of shares

The basic capital of the Company amounts to 31,738,878,000.00 denars (thirty one billion seven hundred thirty eight million and eight hundred seventy eight thousand denars) or 517,818,006.800 EUR as per the average exchange rate of the National Bank of the Republic of Macedonia published one day prior to the adoption of the Charter.

The basic capital of the Company is divided into 31,738,878 ordinary bearer shares, with a nominal value of 1,000 (one thousand) denars per share

Our work philosophy is that the production out of domestic resources is the most profitable and long-term acceptable for Macedonia. The energy of our country, for our future. We have a clear and resolute aim – maintenance and modernization of the existing capacities and development of new ways of electricity generation.
We invest in further exploration of the domestic resources of coal and in renewable sources, developing at the same time a strategy of utilization of wind energy. We create conditions for the provision of high-quality and easily available services for our clients.
We are set to improve the human potential and the Technology. The position we have on the electricity market imposes an obligation to continue with our mission.

 

VISION

We are a responsible company, a recognizable partner among the domestic and international institutions. Our vision is clear, simple and realistically set. We work hard to join the modern and technologically advanced countries. We actively advocate for full liberalization and opening the electricity market to all consumers.
We are also engaged in the establishment of an electricity exchange and in the attraction of foreign and domestic investors. In this way, we will provide the funds required for investments in the field of energy, thus directly contributing to the development of the national economy.
